These Terms and Conditions (the “Terms”) govern your access to glpsciences.com (the “Site”) and every purchase you make from GLP Sciences (“glpsciences.com,” “we,” “us” or “our”), located in Spring Hill, Florida 34608. You can reach us at info@glpsciences.com. By using the Site or placing an order, you agree to these Terms, our Privacy Policy, our Shipping Policy and our Refund Policy. If you do not agree, do not use the Site or place an order.

1. Research use only

Everything we sell is supplied for in-vitro laboratory research use only. Our products are not drugs, dietary supplements, foods, cosmetics or medical devices. They are not intended for use in or on humans or animals, for diagnostic or therapeutic purposes, or for any household, agricultural or consumer purpose. By ordering, you confirm that you will use each product only for lawful laboratory research, under the supervision of a suitably trained person, and in line with your institution’s policies and all applicable laws and regulations.

2. No medical advice or claims

Information on the Site, including product names, descriptions, images, labels and certificates of analysis, is provided to identify materials and describe their analytical characteristics. It is not medical advice, and nothing on the Site states or implies that any product is safe or effective for use in humans or animals. We do not provide guidance on using any product in people or animals, and we will not answer requests for it.

3. Eligibility and accounts

You must be at least 21 years old and able to enter into a binding contract. You agree to provide accurate and complete information, including your name, organization, shipping address and contact details, and to keep it current. We may ask you to confirm your organization or the intended research use before we accept or ship an order. We may decline, limit or cancel any order, and may close any account, if we believe a product may be used in a way these Terms do not allow, if information is inaccurate or incomplete, or for any other lawful reason.

4. Orders

Placing an order is an offer to buy. A contract is formed only when we confirm your order, normally by email. Product availability, specifications and quantity limits may change without notice. If we cannot fill an order or an error is found in a price or description, we will tell you and give you the option to proceed with the corrected details or cancel for a full refund of any amount paid.

5. Pricing and payment

Prices are shown in U.S. dollars and may change at any time before an order is confirmed. Prices do not include shipping or any applicable taxes, which are added where required. We will send payment instructions with your order confirmation or invoice and will state the payment methods we accept at that time. Orders are prepared for shipment after payment has been received and cleared. You are responsible for any bank, wire or transfer charges you incur.

6. Shipping and risk of loss

Shipping is described in our Shipping Policy. Risk of loss passes to you when we hand the package to the carrier. Delivery dates are estimates, not guarantees. You are responsible for providing a correct delivery address and for being able to receive and properly store the package on arrival.

7. Returns and refunds

Returns, replacements and refunds are handled under our Refund Policy. Because of the nature of research materials, opened or used products cannot be returned.

8. Product information and certificates of analysis

A certificate of analysis (COA) describes the specific lot named on it and the tests performed on that lot on the date shown. Results can vary between lots. Product photographs are illustrative, and labels and packaging may change. Specifications may be updated as methods or suppliers change. We make reasonable efforts to keep Site content accurate, but we do not warrant that it is complete or error free.

9. Handling, storage and compliance

You are solely responsible for the safe handling, storage, use and disposal of everything you buy from us, and for complying with all laws, regulations, licenses and institutional requirements that apply to you, including those on controlled materials, import, export and laboratory safety. Please read the product label and any safety data supplied with your order before opening a package.

10. Prohibited conduct

You agree not to: use any product in or on a human or animal; resell or redistribute our products for any purpose that conflicts with these Terms; give a false name, organization or intended use; attempt to interfere with the Site or its security; scrape the Site or use it for any unlawful purpose; or use our names, logos or content in a way that suggests we endorse you or any product or claim.

11. Intellectual property

The Site, its design, text, graphics, logos and the GLP Sciences name are owned by us or our licensors and are protected by intellectual property laws. You may view and print pages for your own business or research records, but you may not copy, modify, distribute or create derivative works from them without our written permission.

12. Disclaimer of warranties

Except where a written warranty is expressly stated, the Site and all products are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms limits any warranty or right that cannot lawfully be limited.

13. Limitation of liability

To the fullest extent the law allows, GLP Sciences and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or loss of research materials, arising from or related to the Site or any product. Our total liability for any claim relating to an order will not exceed the amount you paid for the product that gave rise to the claim.

14. Indemnification

You agree to defend, indemnify and hold harmless GLP Sciences and its owners, employees and suppliers from claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use of any product, your breach of these Terms, or your violation of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. You agree that the state and federal courts located in Florida have exclusive jurisdiction over any dispute arising from these Terms or your use of the Site or our products, and you consent to their jurisdiction and venue.

16. Changes and general terms

We may update these Terms at any time by posting a new version on the Site. The version in effect when you place an order applies to that order. If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the policies they reference, are the entire agreement between you and us about the Site and your orders.
